Wisconsin B.A.S.S. Federation Nation, Inc.
KNOW ALL MEN AND WOMEN BY THESE PRESENT, that the undersigned do hereby make, sign and agree to the following;
ARTICLES OF INCORPORATION
Article I. The undersigned associate themselves together for the purpose of forming a corporation under Chapter 181 of the Wisconsin Statutes and the acts amendatory thereof mid supplementary thereto, the business and purpose of which corporation shall be;
A.To stimulate public awareness of bass fishing as a major sport. To promote full adherence to all conservation codes, demand adequate water standards, and take a leadership role in improving Wisconsin’s environmental resources. To improve our skill as bass anglers through a fellowship of friendly exchange of expert bass-catching techniques and ideas, and to promote and encourage youth fishing and a love for this great recreation. To promote boating and fishing safety ethics and good sportsmanship, and appreciation of basic rules of honesty, integrity, and fair play. To function as a dynamic and effective link with other chapters of the B.A.S.S.® Federation Nation embracing the principles and purposes of B.A.S.S.®.
B. To do all other business incidental to or necessary for the carrying on and conducting of the business and purpose above mentioned, and in general to carry on any other lawful business whatsoever in connection with the foregoing, or which is calculated directly or indirectly to promote the interests of the corporation, and to have and exercise all the rights, powers and privileges which are now, or hereafter may be conferred by the laws of Wisconsin upon which apply to corporations formed and organized under Chapter 181 of the Wisconsin Statutes and the Acts amendatory thereof and supplemental thereto.
Article II. The name of the corporation shall be the Wisconsin B.A.S.S. Federation Nation, Inc. and the principal office of the said corporation shall be in the city of residence of the existing President, and the initial registered agent shall be:

Article III. There shall be no capital stock of said corporation.
Article IV. No dividend or pecuniary profits shall be declared or paid to the members of said corporation.
Article V. There shall be one class of membership with such qualifications and rights as set out in the by-laws.
Article VI. The officers of the said corporation shall be a President, Vice President, Secretary, Treasurer, Youth Director and Conservation Director. The term of office for all officers shall be for a period of two years and until their successors are elected and qualified. All officers will be limited to two consecutive terms in a given position.
Article VII. These articles may be amended by resolution setting forth such amendment or amendments adopted at any meeting duly called for that purpose or at any regular representatives meeting, provided that a statement of the nature of the proposed amendment is included in the notice of the meeting or 45 days prior to the meeting. An amendment shall be adopted upon receiving at least two thirds of the votes entitled to be cast by the general membership present or represented by proxy at such meeting.
Article VIII. Dissolution. This corporation may be dissolved by resolution setting forth such dissolution adopted at any meeting duly called for that purpose or at any regular representatives meeting, provided that a statement of the nature of the proposed dissolution is included in the notice of the meeting or 45 days prior to the meeting. Dissolution shall occur upon receiving at least two thirds of the votes entitled to be cast by the general membership present or represented by proxy at such meeting. Any remaining assets of the corporation after any and all debts have been paid, will be sold at auction and any monetary value will be donated to a charitable organization in the State of Wisconsin, as selected by the board of directors, which meets the purpose as stated above of the Wisconsin B.A.S.S. Federation Nation, Inc.
Article IX. The names and addresses of the persons constituting the initial officers are:
